Caiado Guerreiro signs agreement with Jingsh

On July 21, 2021, Caiado Guerreiro and Jingsh Law Firm, one of the largest law offices in China, signed a business cooperation agreement in an effort to build a solid bridge for the international exchange and collaboration of both sides. Jingsh has been building a double-track development model of « domestic + international » and as of today has 8,165 employees nationwide, with 51 offices in China and 13 overseas offices.

Portuguese lawyer Rosendo Guimarães da Costa, from Caiado Guerreiro, was representing the firm at this agreement signing.  Rosendo has been collaborating with Caiado Guerreiro for almost 10 years, integrating the Chinese Desk team, where he works as the firm’s Beijing based law expert. He travels frequently within the Asian continent (China, India, Vietname, Korea and Japan) to participate as a speaker at conferences, events, intervene and mediate panel discussions, meet partners, investors, and clients, provide legal advice and periodically publishing articles related to Asian markets. He was also a founding member of the Portuguese Club of Beijing in 2015, currently serving as Vice President of the Fiscal Council.

Rosendo highly recognized Jingsh international development model during the ceremony, before introducing the development scale, business areas, and other content of Caiado Guerreiro. He hopes that both sides can form a long-term stable cooperative relationship and jointly explore the overseas market and the unique international development path, carrying out broader and deeper business exchanges and cooperation.

At the signing ceremony, held at Jingsh Lawyers Building headquarters, was were also present Liu Rentang (Manager of Jingsh&Anwenna Law Firm), Deng Jun (Director of the Jingsh’s Cultural Brand Department), Gao Hexin (Director of International Commercial Contracts Legal Affairs Department at Jingsh Tangshan Office), Lu Dingliang (Director of the Digital Economy Legal Affairs Department) and Tang Yuanyang (Director of the Entrepreneurs’ Rights & Interests Protection Department at Jingsh Beijing Headquarters).

« It is significant for Jingsh to expand the legal service market in China and Portugal. » – Deng Jun noted – « Jingsh will fulfill the function of Jingsh international system, which was centered on Jingsh Shanghai International Headquarters, to promote the law practice around the world. »

« Both sides should not restrict the business cooperation but try to realize the cross-cooperation in multiple fields based on innovative development mode, establishing a sound business cooperation system to adapt to the ever-changing international market environment. » Lu Dingliang suggested.

Gao Hexin and Tang Yuanyang hope that the two firms can cooperate closely to expand business cooperation channels and explore potential cooperation opportunities.

“Global Patent Litigation »: Ricardo Costa Macedo and Diana Mâncio da Costa are the authors of the Portuguese Chapter

Wolters Kluwer’s « Global Patent Litigation: Strategy and Practice » is a publication aimed at attorneys, patent agents and legal advisors who face international patent litigation. This publication is divided into different country reports, which provide a broad, general description of patent litigation practice in a specific jurisdiction. The description of available conservatory measures, common procedures, and injunctive relief in the major countries of the world is of great value.

Wolters Kluwer’s « Global Patent Litigation: Strategy and Practice » aims to address the growing need for quality information on the strategy and practical aspects of patent litigation in the world’s major jurisdictions.

Caiado Guerreiro assists Poke House in merger

With a team led by Jorge Ribeiro Mendonça, Caiado Guerreiro advised Poke House Italia in the merger with the Portuguese chain with the same name, Poke House Portugal, founded in late 2017 by Duarte Costa and Francisco Guedes.

Poke House Italia was advised on the Italian Law perspective by the internal legal department coordinated by Giulia Bergamasco and on the Portuguese Law perspective it was advised by Caiado Guerreiro through the team led by Jorge Ribeiro Mendonça and supported by Rui Figueiredo Marcos, lawyer, and Neuza Felizardo Carreira, trainee lawyer.

Through the recently announced operation, Poke House Portugal will receive a part of the five million euro investment raised by the chain with the same name in the Italian market. The merger between the two companies gave rise to the fifth « Poke » restaurant (a Hawaiian dish with a Californian soul) in the Lisbon district, at the Colombo Shopping Centre.

The Poke House chain has opened four restaurants in Portugal in three years (Chiado, Strada Outlet, Atrium Saldanha and CascaiShopping) and has the medium and long-term goal of opening 12 shops in Lisbon and three in Porto. Following the merger with Poke House Italy, the chain will carry out a rebranding process in Portugal and create 180 new jobs next year.

Internationally, the brand has already reached Spain and the goal is now to achieve the EMEA (Europe, Middle East and Africa) market leadership in the next two years, after completing the €5 million investment. In April 2020, Poke House Italy kicked off this €5 million investment, from the Milano Investment Partners fund managed by the Moratti family, which supports the company’s plan in its ambition to expand and add 85 new restaurants to the portfolio over the next four years. Matteo Pichi and Vittoria Zanetti founded the Poke House Italia chain at the same time as the Portuguese entrepreneurs and with the same name.

Caiado Guerreiro advises Eni Gas e Luce on the acquisition of Aldro Energia

A team from Caiado Guerreiro, led by partner Jorge Ribeiro Mendonça, supported the Italian law firm Gianni & Origoni in signing an agreement between its client Eni gas e luce, a subsidiary of Eni SpA, and the Pitma Group for the acquisition of 100% of Aldro Energìa Y Soluciones S.L.U., – a company present in Spain and Portugal, through a branch office – in the market for the sale of electricity, gas and services to residential, small, medium and large business customers. The agreement also included the acquisition of 100% of the service company Instalaciones Martìnez Dìaz S.L.U..

In addition to Jorge Ribeiro Mendonça, Caiado Guerreiro’s team had also the support of the lawyer Rui Afonso Marcos and the trainee lawyer Neuza Felizardo Carreira, who were responsible for the work related to Portuguese law matters; the Spanish law part was handled by the Spanish law firm Araoz & Rueda. Both teams have been accompanying the firm Gianni & Origoni, which acted as global consultant for Eni gas and electricity, thus providing the necessary support in relation to the jurisdictions in question.

The legal aspects of the transaction were also followed by an internal Eni team, with Mediobanca acting as financial advisor and KPMG assisting with the financial and tax aspects of the transaction. Banco Santander acted as financial advisor to Pitma, while Cuatrecasas advised the seller on the legal aspects.

Caiado Guerreiro assists client in major Angolan privatization

Baobab Cotton Group, a client of Caiado Guerreiro, won one of the largest privatizations in Angola through a public tender, with the assistance of Caiado Guerreiro’s lawyers.
The public tender dealt with the privatization of 13 industrial units in the Special Economic Zone (ZEE) in Viana, making the country raise about $ 3.5 billion through the award of contracts. 30 companies were involved in the tender, of which the companies in the textile industry, África Têxtil (in Benguela) and Comandante Bula (Kwanza Norte), units valued at $500 million, were awarded to Baobab Cotton Group.

Caiado Guerreiro’s team, led by João Caiado Guerreiro, Sandra Jesus and Paulo Costa, was responsible for all the process related to the public tender and for all the preparation and document review involved in the transaction, in addition to the analysis and advisory work in all steps of the process. « We are very satisfied with the results obtained. It is gratifying to have Caiado Guerreiro associated to a transaction of this importance and dimension and, above all, to be able to deliver to our clients the results expected by them », says João Caiado Guerreiro, on behalf of the team.

This public tender follows the privatization process of Sonangol, which until now, had already 25 public tenders launched. From the two tenders already awarded, a revenue of about 23 million Euros has been generated. In the words of Osvaldo João, Secretary of State for Finance and Treasury, the Angolan government hopes that these privatizations will contribute to the revitalization of the production units and thus recover the weakened economies. According to him, the Baobab Cotton Group, based in Zimbabwe, has shown that it has the technical and financial capacity to take responsibility for the management of the two textile units, having therefore won two of the large companies that have contributed to the growth of the confectionery industry in Angola.
