It should also be noted that certain circumstances do not exclude liability. For instance, the existence of a favourable opinion from a supervisory body does not exonerate directors. On the other hand, where an act results from a shareholders\u2019 resolution, liability towards the company may be limited, but not necessarily towards third parties.<\/p>\n
